POLICIES & PROCEDURES, CODE OF CONDUCT & OTHER REGULATIONS
The policy and procedures define the duties, responsibilities, and function of Advisor/ Distributor and the company. They are proven business practices that will have a positive effect on your success. Although your willing compliance is essential and greatly appreciated, COMPANY will enforce these policies to help maintain the integrity of the business. Any individual who has filled signed the Advisor / Distributor Application Form must abide by the Regulations failing which COMPANY, reserves the right to terminate his/her Advisor/Distributor.
BUSINESS MANUAL OF DBV ADVISOR / DISTRIBUTOR
- RAM means Ram Agri Infra (India) Pvt. Ltd (here in after referred to as “Company” for short) and its subsidiaries and branches throughout the country.
- COMPANY may change or modify the content of this Business Manual from time to time according to the needs which shall be published through the local network.
THE COMPANY
- RAM is a real estate company that develops real estate projects & markets using Dream BIG Vision (DBV) that encourages and supports independent Advisor/ Distributor engaged in selling our properties by ways of retailing and building network of Advisor/ Distributor.
- Advisor / Distributor is one who has completed the application form and being accepted and confirmed by the company as such.
- The provisions of the Business Manual govern the contract between COMPANY and the Advisor/ Distributor. COMPANY is not liable for any contrary term held out orally or otherwise, by any person to a prospective Advisor/ Distributor contrary to or in addition to the provisions of the Business Manual.
- COMPANY guarantees to offer the Advisor/ Distributor the properties, which meet with relevant stipulations and the promised quality requirements and standards.
- The Company has the power to deduct the relevant expenses owed by the Advisor/ Distributor from their brokerage.
- COMPANY will not be held responsible for delays and failures in performance due to force majeure, including but not limited to, strike, labor dispute, riots, earthquake, war, flood, fire, epidemic or government decree or book.
- COMPANY properties comply with the high quality standard requirements.
GENERAL POLICIES
- These rules and policies are designed to promote harmony and preserve the benefits rights and privileges of Advisor/ Distributor are neither restricted nor limited their business.
- All the Advisor/ Distributor are required to familiarize themselves with the rules and policies of business.
- Any Advisor/ Distributor who fails to observe the rules and policies will not plead to the rules and regulations.
- The company reserves the right to change or amend existing rules or to add new rules without giving prior notice to the Advisor/ Distributor.
- Each Advisor/ Distributor, by signing the Advisor/ Distributor application form expressly agrees to abide and be bound by the rules and policy.
ADVISOR/ DISTRIBUTOR
- All individual applying to be an Advisor/ Distributor must fulfill the following conditions:
- Age 18 years or more
- An Indian citizen or permanent resident.
- Must be line of contacted by a valid line of contact.
- The application to become Advisor/ Distributor is subject to the confirmation by the company. The company reserves the right to reject the application that does not contain the full particulars or details as required in the fraudulent of forged information is considered null and void.
- The application must be submitted in the prescribed Advisor/ Distributor application form with all particulars be given in full and truthful.
- All Advisor/ Distributor is valid upon the company through its authorized employee’s confirmed the application by signing, stamping and returning the duplicate copies.
INDEPENDENT ADVISOR/ DISTRIBUTOR
- All Advisor/ Distributor are considered as in dependent Advisor/ Distributor. There is no agency or employment relationship between the company and any Advisor/ Distributor.
- Advisor/ Distributor shall not use the company’s name, logo, slogans and trademarks without the consent of the company.
- Advisor/ Distributor shall not represent or declare expressly or implicitly to be the sole or exclusive Advisor/ Distributor for or to any particular area of business.
- For all the Advisor/ Distributor the expenses for the development of the business should be borne by themselves, including the expenses of travel, entertainment, office, employees, accountant and development. All the Advisor/ Distributor should be liable for relative taxes for their independent business, and these taxes will be deducted from their bonuses and paid by the Company on the basis of the regulations issued by the local tax department.
- Advisor/ Distributor relationship with the company is that of a contractual nature. Only adult individuals aged 18 and above contract with the company for Advisor/ Distributor
- Advisor/ Distributor do not have the authority or the power to bind the company to any obligation or to contract in the name of the company and create a liability against the company in any way for any purpose.
- Advisor/ Distributor shall not represent himself/herself as an employee of Company on any of his/her stationary. Advisor/ Distributor must abide by the relative laws, rules and regulations as business operators. Advisor/ Distributor should consult the local relevant authorities to ensure the legal operation of their business.
SPOUSE ADVISOR/ DISTRIBUTOR
- Spouse must not apply under a different organization/family line of contacts. They may choose to share one single Advisor/ Distributor.
- Either spouse can be in the same line of contact and own individual DBV qualification. However, they must be in the direct line
- To facilitate business expansion, the spouse can act for each other in general matters within his / her qualification. However, whatsoever consequences that may arise are shouldered by both of them.
- When two Advisor / Distributor get married, if both of them are Advisor/ Distributor at the time they marry, both of them can retain their original DBV qualification, i.e. utilizing each individual’s original Advisor/ Distributor status to operate business. Or one of them may decide to relinquish the original Advisor/ Distributor status and then join in a single entity as the direct line of spouse. In this circumstance, the original line of contact of the relinquished Advisor/ Distributor will be passed up to the original up line automatically.
CODE OF ETHICS FOR ADVISOR/ DISTRIBUTOR
- The introduction and dissemination of DBV should be done in accordance with the current Company literatures, printed materials or labels on the packages. Any explanation beyond the above scope must be approved by the company in writing.
- Advisor/ Distributor should realistically present the Marketing plan and clearly explain the required levels and steps towards success.
- Advisor/ Distributor should not use the name of COMPANY or any trademarks, materials, Advisor/ Distributor lists, literatures, meeting or any other resources to further other business.
- Advisor/ Distributor should try their best to ensure that customers are satisfied with properties and services.
- Advisor/ Distributor must sell the properties only at the prices prescribed by the company and not at any prices which are lower or higher than the uniform prices.
- Advisor/ Distributor should not make any negative or disparaging remarks about COMPANY or its properties.
- Advisor/ Distributor should not make any negatives or disparaging remarks about other companies or their properties.
- Advisor/ Distributor should consistently do their best to disseminate the conception of COMPANY and engage in no activities that may cause loss to COMPANY or any other independent Advisor/ Distributor.
- Advisor/ Distributor should carry out all duties of line of contact and guide the sponsored Advisor/ Distributor to expand their business.
- Advisor/ Distributor should respect the personal right of other Advisor/ Distributor and customers.
- Advisor/ Distributor should abide by all laws, rules, regulations and ordinances that are applicable to the operation of Business.
- COMPANY is committed to quality properties and services, and the resolute observations of business norms. Although Advisor/ Distributor are generally free to operate their business, COMPANY commitment should promise to act good faith at all times.
- Advisor/ Distributor cannot produce. Advertise, announce, promote properties advertise to recruit Advisor/ Distributor or produce, advertise, announce with the intention to promote properties and recruit new Advisor/ Distributor.
- Advisor/ Distributor cannot overstate or promote without any back up evidences or use misleading methods to explain property or properties sold.
- Advisor/ Distributor cannot counterfeit properties or services that are not being authorized to be sold as properties and services and promote them.
- No Advisor/ Distributor should utilize any means to calumniate threat or intimidate staff member as COMPANY as to the duties and responsibilities.
- Advisor/ Distributor must secure COMPANY not to act against, indemnified, demanded, and sued by others due to misleading, misrepresenting, imitating, threatening behaviors against marketing plan or properties. The said Advisor/ Distributor must then pay compensation to COMPANY, or the party concerned all damages in the form of money, reputation spirit and other losses that may incur inclusive of such things as charges for legal proceedings required for lawsuit purpose by COMPANY or the party concerned (Litigant)
- Advisor/ Distributor is only allowed to use the wordings recorded auditors recorded visuals by COMPANY to assist him in developing business. He is not allowed to produce or publish by himself of the above-mentioned sales aids or audio-visual materials without approval of concerned department of Company. Incase of any disputes, only the English version will be considered final.
- For those who are Advisor/ Distributor and when are found to be also in other direct selling business. Or involve in the activities of other direct selling company then Company will not recognize their DBV qualifications.
- Unless specifically authorized by COMPANY in written form, any Advisor/ Distributor may only sell the properties purchased from the local Marketing office and the properties can only sold to consumers in the authorized marketing areas.
- COMPANY has right to adjust the prices any time and will as much as possible notify the active Advisor/ Distributor of the adjustments. Advisor/ Distributor should book the properties according to the Company have regulated methods and procedures.
- COMPANY has the responsibility to ensure that all the packages printing kits stationery materials and labels of the properties are with all applicable laws and regulations. Before selling Advisor/ Distributor are not allowed to repack or re label the properties purchased from the company.
- Any dispute between the Company and Advisor/ Distributor will be handled in accordance with relevant laws of the country of the Advisor/ Distributor or in accordance with any arbitration clause which may be specified.
- The Advisor/ Distributor are responsible for all government-imposed taxes and levies.
GUIDELINES ON THE PRESENTATION OF COMPANY PROPERTIES AND MARKETING PLAN
- Advisor/ Distributor shall accurately introduce properties and Marketing Plan. This obligation includes the following aspects:
- Advisor/ Distributor shall neither misstate nor omit any significant about the Marketing plan, and must present the relevant parts of the Business Manual to the prospective Advisor/ Distributor.
- Advisor/ Distributor cannot illustrate that business is a get-rich-quick-scheme, cannot imply that only little time is required or no efforts, it is to be understood time is needed to succeed in business.
- Advisor/ Distributor shall be clear that the Business is based on the sales of properties, and that Advisor/ Distributor will not be successful merely by recruiting new Advisor/ Distributor without marketing.
- Advisor/ Distributor shall not exaggerate the presentation to those who wish to join Business, nor should guarantee profit and fixed income to them. It be stated that Advisor/ Distributor will only be successful through hard work.
- Advisor/ Distributor shall not make any presentations for any DBV property other than those found in current DBV literatures and labels. All statements regarding DBV properties and their usages must conform in every way to current materials about properties.
- Advisor/ Distributor should not exaggerate their sales, income benefits, or make any undocumented, illegal promise.
- Advisor/ Distributor may only publicize their personal income and bonuses, and explain that they can not guarantee the income for prospective Advisor/ Distributor.
- Advisor/ Distributor should abide by the local laws, and make known their average income and sales if necessary.
- Advisor/ Distributor should be honest and not make inflated presentations when they introduce the bonuses they receive from the Company. Advisor/ Distributor must first ascertain that such benefits must be earned through proper incomes derived from conducting business.
- Advisor/ Distributor should explain that the retailing or marketing of properties is an essential element of the Marketing plan.
RESPONSIBILITY OF LINE OF CONTACT
A Line of Contact is an already approved DBV Advisor/ Distributor who introduces another person to business.
- It is the responsibility of the line of contact to work with his/her new Advisor/ Distributor, helping them to learn the business and encouraging them during the early stages by providing proper trainings.
- The line of contact must make it clear to the prospective Advisor/ Distributor that no remuneration is received for a new Advisor or Advisor/ Distributor.
- The line of contact must ensure that the DBV Advisor/ Distributor being contacted truly understand property booking procedures as well as understand how to book properties from COMPANY.
DOUBLE ADVISOR/ DISTRIBUTOR
- As per policy of the company, double Advisor/ Distributor within DBV is strictly prohibited.
- If there are two or more applications for Advisor/ Distributor submitted for the same person, the second application, which is later in time, shall be null & void.
- Without prejudice to the above rule 59, the second application may override the first if it is proved that the first application is submitted without the knowledge and consent of the applicant, express or implicit.
- In case of rule 58, the applicant must submit a written letter stating clearly the reason(S) for the second application and agrees to forfeit the current sales level recorded and down lines established under the first Advisor/ Distributor/.
- Advisor/ Distributor and his/her spouse line of contacted by two different line of contacts simultaneously also means ‘Double Advisor/ Distributor/’ of ‘Double line of contact.
- The company reserves all the rights whether to approve the second application.
CORRECTIVE MEASURES FOR DOUBLE ADVISOR/ DISTRIBUTOR
- Subject to rule 60, if two Advisor/ Distributor claim to be the line of contact of the same new Advisor/ Distributor, the company shall regard the first application received by the company as controlling.
- The company strictly prohibits the following acts:
- Signing up an existing and valid Advisor/ Distributor of other groups.
- Signing up the spouse of an existing Advisor/ Distributor.
- Signing up under another line of contact to operate his/her Advisor/ Distributor while his/her Advisor/ Distributor is still in existence.
- The company reserves the right to take the following or any other suitable actions against the party at fault:
- The Advisor/ Distributor of the Advisor/ Distributor who signs up Advisor/ Distributor or spouse of other groups shall be terminated.
- All Advisor/ Distributor involved shall be transferred back to their original line of contact.
- If the spouse A of a Advisor/ Distributor B is found to have signed under another group, A‘s Advisor/ Distributor under other group will be terminated and A’s line of contact Advisor/ Distributor shall be transferred to B.
- In any circumstances whatsoever, no backdating of bonuses shall be considered.
BONUS RESTRICTION ON COMPANY
- Bonus to Advisor/ Distributor is decided by the corresponding Unit value which is calculated in accordance with the market economics of various projects. The amount of bonus depends upon the latest Marketing Plan. Advisor/ Distributor can consult this Business Manual. COMPANY has the right to amend a part or the whole Marketing Plan any time. Bonus granting date is decided in accordance with the terms of the Marketing Plan on a monthly or other periodic basis. Please consult the related part of this Business Manual for details on the bonus granting method and accounting service fees.
- Advertising and Using Company brand and trademarks.
- Advisor/ Distributor must know that all company trademarks, medals, symbolic badges, designs, books design, audio and visual materials, as well as all the technological skills and knowledge related to properties utilized by COMPANY are actually the properties of COMPANY, and they have been registered, utilized and authorized to be use in the local, national & international regions exclusively.
- Advisor/ Distributor are not allowed especially to misuse Company brand and trademarks in the following ways:
- Produce or through sources outside COMPANY obtain and sell any properties printed with COMPANY, or the names, symbols or trademarks of any property.
- Place any brand and trademarks on his car except the stickers distributed by COMPANY.
- Advertise or broadcast COMPANY business activities or properties in any media.
- Utilizes the name of COMPANY as the name for any organization or business or authorize others to use such names.
- Advisor/ Distributor or other people are not allowed to duplicate the company’s promotional materials such as brochures, CDs etc.
- Advisor/ Distributor are not allowed to print any of the COMPANY logotypes on stationery or business card. In case of real need they should get the authorization form the company. But no amendment is allowed. COMPANY has the right to cancel the authorization according to the concrete conditions.
- If any Advisor/ Distributor find that the COMPANY trademarks are illegally used, or the COMPANY copyrights or intellectual property rights are infringed, the Advisor/ Distributor should inform the company in writing for the company to take the necessary legal action to protect its rights.
- Distributes shall not display or sell the company’s properties in any retail outlet.
WILL AND INHERITANCE
- The business can be willed and be inherited over by the heir of the Advisor/ Distributor in case of old age, disability or death of the Advisor/ Distributor.
- All heirs who qualify to inherit an Advisor/ Distributor shall be required to maintain the minimum bonus values in book to continuously enjoy the benefits as per the Marketing plan.
- The heir could be the next kin of the Advisor/ Distributor or whosoever individual whom he/she have willed his/her assets to or whosoever individual inherits his/her assets by operation of the local law.
LIFE ADVISOR/ DISTRIBUTORDISTRIBUTOR’SAND TRANSFER OF LINE OF CONTACT
- Advisor/ Distributor is a lifetime membership and the transfer of line of contact is not permitted.
- Rejoining is allowed only if all the following conditions are fulfilled:
- The Advisor/ Distributor have given written notice resigning from the Advisor/ Distributor or the Advisor/ Distributor has been terminated by the company with notice.
- At least 4 months has lapsed since the resignation is received and confirmed by the company; or the date of termination takes effect.
- During the 4 months period, the Advisor/ Distributor must observe the following:
- He/ She cannot purchase any DBV properties as an Advisor/ Distributor. However, he/she can purchase the properties as a consumer.
- He/ She cannot sell any properties.
- He/ She cannot line of contact or seek to line of contact anyone as Advisor/ Distributor.
- He/ She cannot attend any company meetings or trainings.
- He/ She cannot represent to be an Advisor/ Distributor.
- If he/she is found to have violated any of the above conditions, the 4 months period will be calculated from the latest date where he/she so violated.
PROHIBITED ACTIVITIES
- The following are prohibited activities causing grounds for termination:
- Misrepresentation as to the use and or benefits or properties or what a person may earn as Advisor/ Distributor.
- Participating in any scheme, device or other means used to discourage another Advisor/ Distributor from purchasing properties for the purpose of responding such Advisor/ Distributor.
- Engaging in activities that involve the soliciting of any person whom a Advisor/ Distributor know or under the circumstance should have known, is an Advisor/ Distributor, to sell other properties of any nature by or through other Direct Selling methods or attempting to build or establish a business detrimental to our be at the expense of other Advisor/ Distributor, their groups or COMPANY.
- Using or knowingly teaching other Advisor/ Distributor to use unethical, illegal, unlawful or improper ways to do DBV business.
- Engaging in any activities with an intention to cheat the company or to deprive other Advisor/ Distributor of their rightful benefits including but not limited to double line of contacting of Advisor/ Distributor.
- For Advisor/ Distributor who is found to be actively participating in another Direct Selling / Multilevel company.
- Proving false information in the Advisor/ Distributor Application form (including non-original signature of DBV Advisor/ Distributor)
- For Advisor/ Distributor who is found to have violated law or has been punishing to serve set-term of imprisonment.
- COMPANY reserves the right to handle any problem on rights and interests of the terminated Advisor/ Distributor and set relevant rules which may not the same as those specified in Business Manual.
TERMINATION OF ADVISOR/ DISTRIBUTOR
- Termination means a severance of all the privileges and contractual rights available to Advisor/ Distributor including but not only the privilege to distribute properties. The termination will result in the inability to qualify for income and volume bonuses, and severance of all other benefits as line of contacted by the company.
- Advisor/ Distributor will be terminated if any Advisor/ Distributor are found to have violated on or of any company rules and regulations as amended from time to time.
- If for 11 months no business is generated the Advisorship/Distributorship shall automatically be terminated.
- A Terminated Advisor/ Distributor shall upon demand by the company, be liable to repay return or compensate for any bonuses, prizes , inventories or any other incentives from the company retrospective from and after the date of the activities causing such termination. Forfeited bonuses caused by such termination shall be paid to the next qualifying Advisor/ Distributor up line that is not in violation of his contractual Advisor/ Distributor up line.
VOLUNTARY TERMINATION OF ADVISOR/ DISTRIBUTOR
- If Advisorship/ Distributorship wish to terminate his / her Advisorship/ Distributorship he/ she must do so in writing. The effective date is the date on which the company accepts and confirms the termination request. The resigned designed Advisor/ Distributor forfeits his / her current sales level and all the down lines established at the time.
- Once the Advisor/ Distributor is terminated, his/her spouse is also considered terminated except in the case where the husband & wife have individual Advisor/ Distributor.
TERMINATED ADVISOR/ DISTRIBUTOR
- In the event of termination he terminated Advisor/ Distributor agrees to immediately cease representing himself/ herself as DBV Advisor/ Distributor.
- When a Advisor/ Distributor is terminated either voluntarily or in voluntarily, his/her entire down lines organization will be placed directly under the terminated Advisor/ Distributor present line of contact.
INDEMNITY
- The Company protects the legal rights of its consumers and believes that the properties are of high quality.
- When consumer’s legal rights are infringed, they may seek solutions in the following ways:
- Consulting with Advisor/ Distributor.
- Consulting with COMPANY.
- Arbitral solution.
- COMPANY has the right to investigate and affix the responsibility, according to the law, to those who intentionally defame its properties.
